TripMigo — Terms of Use

1. Acceptance of Terms

By downloading, accessing, or using TripMigo (the “App”), you agree to these Terms of Use (the “Terms”) and to the policies referenced below (collectively, the “Platform Terms”):

• Jordanmeir general terms and conditions;
• ChatGPT/OpenAI Terms of Use (for AI-powered features);
• Apple App Store and Google Play Terms of Service;
• Any applicable local laws and regulations.

If you do not agree, you must not use the App.

2. Eligibility

• The App is intended for users 18 years of age or older.
• Users aged 13–17 may use the App only with the consent and under the supervision of a parent or legal guardian who agrees to be bound by these Terms. The App is not available to children under 13.
• By using the App, you confirm you have the legal capacity to enter into this agreement.

3. Accounts & Registration

• You may be required to create an account (e.g., name and email) to access certain features. You must provide accurate information and keep it updated.
• You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Promptly notify us of any unauthorized use.
• We may suspend or terminate accounts for misuse or violation of these Terms.

4. Services & Third-Party Providers

The App provides AI-powered travel planning and related tools. Some features send your inputs and content to third-party providers to operate the App, including:

• OpenAI/ChatGPT API (AI chat and recommendations);
• Google Places, Maps, Photos, and related services;
• Firebase (data storage, analytics, authentication).

Your use of those features is subject to the providers’ terms. We do not control third-party content or availability and do not guarantee its accuracy, policies, or security.

Important: AI outputs and place data may be inaccurate, incomplete, or out-of-date. Always verify critical details (hours, closures, safety, visas, road conditions) before acting.

5. User Content & Feedback

• Ownership: You retain ownership of text, images, and other content you submit (“User Content”).
• License to Us: You grant JordanMeir a non-exclusive, worldwide, royalty-free license to host, process, display, and otherwise use your User Content solely to operate, maintain, and improve the App and related services.
• Prohibited Content: You must not submit unlawful, infringing, defamatory, harassing, hateful, sexually explicit, or harmful content; malware; or others’ personal data without permission.
• Moderation: We may remove or refuse any User Content at our discretion.
• Feedback: If you provide suggestions or ideas, you grant us a perpetual, irrevocable, royalty-free right to use them without restriction or obligation.

5A. Acceptable Use

• Do not scrape, harvest, or index the App or its outputs; do not reverse engineer, attempt to extract source code or models, or bypass security, metering, or quotas.
• Do not use the App for unlawful, misleading, or dangerous activities; do not infringe third-party rights or upload viruses or harmful code.
• Do not use AI outputs to make safety-critical or legal claims without independent verification (e.g., access restrictions, safety, compliance).

6. Payments & Subscriptions

• The App may offer in-app purchases (consumables, non-consumables) and subscriptions.
• Purchases are processed by Apple or Google and governed by their terms, including billing, renewals, cancellations, and refunds.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current period. Manage or cancel in your device subscription settings.
• Prices and taxes may change. Where required, we will provide notice via the platforms.

7. Disclaimers & Limitations of Liability

• “AS IS”: The App and any outputs (including AI-generated content) are provided “as is” and “as available,” without warranties of any kind.
• No Guarantee of Accuracy: We make no warranties regarding correctness, completeness, or reliability of recommendations or third-party information. Verify critical details independently.
• Limitations: To the maximum extent permitted by law, JordanMeir and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, use, or goodwill. Our total liability for all claims will not exceed the greater of (a) US$100 or (b) amounts you paid to us (if any) in the 12 months preceding the event giving rise to the claim.

7A. Indemnification

You agree to indemnify and hold harmless JordanMeir and its affiliates from any claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the App, your User Content, or your breach of these Terms.

8. Termination

• We may suspend or terminate your access at any time for violation of these Terms or if required by law.
• You may stop using the App at any time by uninstalling it.
• Sections that by their nature should survive (e.g., payments, IP, disclaimers, limitations, indemnities) will survive termination.

9. Governing Law & Dispute Resolution

• These Terms are governed by the laws of your country, without regard to conflict-of-laws rules.
• Before filing a claim, the parties will attempt to resolve disputes informally by contacting the other party.
• (Optional) If not resolved, disputes will be resolved by binding arbitration on an individual basis in your country, and class actions are waived to the extent permitted by law. You may opt out within 30 days of acceptance by contacting us.

9A. App Store/Google Play Terms

• Apple and Google are not responsible for providing maintenance or support for the App.
• To the extent required, Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.
• You represent that you are not located in a country subject to embargo and are not a prohibited party under applicable export or sanctions laws.

10. Changes to Terms

We may update these Terms. If changes are material, we will provide notice (e.g., in-app or by email). Updated Terms are effective upon posting unless a later date is stated. Continued use constitutes acceptance.

11. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, share, and protect your information, and your choices and rights.
